Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ShiftSummary platform and website at shiftsummary.io (the "Service"), operated by ShiftSummary ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 16 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Free Trial

New accounts receive a 14-day free trial of the Professional plan. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or discontinue the free trial at any time.

4. Subscriptions & Billing

Paid plans are billed monthly via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial months.

We reserve the right to change pricing with 30 days' notice. Price changes will apply at the start of your next billing cycle after the notice period.

5. Your Content

You retain ownership of all content you create within the Service, including shift summaries, briefings, follow-ups, and custom section data ("Your Content"). You grant us a limited license to host, store, transmit, and display Your Content solely to provide the Service to you and your team.

You are responsible for ensuring Your Content does not violate any laws or third-party rights. We do not monitor the content of shift summaries but reserve the right to remove content that violates these Terms.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to store or transmit malicious code
  • Resell or redistribute the Service without our written consent
  • Use automated tools to scrape or extract data from the Service

7. Availability & Support

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

8. Data & Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to the practices described therein.

9. Intellectual Property

The Service, including its design, features, code, and branding, is owned by ShiftSummary and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand assets without prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law, ShiftSummary shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of or inability to use the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify and hold harmless ShiftSummary, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

13. Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and deleting your account. We may suspend or terminate your access if you violate these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Limitation of Liability, Disclaimer, and Indemnification) will survive.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
